Regional Dental Company Recapitalizes

Challenge:

The client, a regional dental primary care provider, sought to understand the implications of recapitalizing after a number of mergers. The ownership group consisted of more than 15 investors, including both active and retired practitioners. The business needed capital to buy out retired practitioners but was unsure if capital should come from a private equity group or debt financing.

Solution:

In order to fully explore the options available to owners and management, a complete valuation, financial planning and analysis, and due diligence procedures were completed, thus preparing the company for recapitalization.

  • Identified and groomed internal resources to begin actively assuming operational leadership before going to market.
  • Timed the recapitalization process to optimize integration of recent mergers.
  • Performed valuation, financial planning and analysis, quality of earnings review, and due diligence procedures in order to make sure the company was ready from a financial perspective.

Result:

The client completed a successful recapitalization with debt financing, enabling it to buy out retired practitioners. We also assisted in the integration of the new management team and creation of a financial plan for the entity going forward.
